1. Who We Serve

Pryze is built for businesses and organizations of all types, including commercial enterprises and government agencies, seeking to boost workplace engagement and productivity. These Terms apply to all users, including employees, contractors, and administrators from commercial, nonprofit, or public-sector organizations.

2. User Accounts

To access certain features, you may need to create a user account. You're responsible for keeping your login credentials confidential. You agree to use the Service only for lawful purposes and in accordance with all applicable laws, regulations, and policies.

3. Data Privacy & Ownership

We take the protection of your data seriously.

• Data Ownership: All data submitted to Pryze by users or organizations, whether commercial or government, remains the sole property of that organization. Pryze does not claim ownership of your data.
• How We Use Data: We use customer data solely to operate, maintain, and improve the Service. We do not sell, rent, or share your data with third parties for marketing purposes. Aggregate, de-identified data may be used for analytics to improve platform performance.
• Security Measures: Pryze employs administrative, physical, and technical safeguards, including encryption in transit and at rest, access controls, regular audits, and secure infrastructure, to protect your data against unauthorized access, disclosure, or loss.
• Data Storage: All customer data is stored on secure servers located in the United States. We do not transfer customer data internationally unless required by law or with explicit organizational consent.
• Compliance: While Pryze is not yet FedRAMP-authorized, we are committed to aligning with industry best practices and federal security frameworks (e.g., NIST SP 800-53, FISMA) as appropriate for government clients.
• Data Access and Control: Customers have the right to request access to their data, request deletion, or export data in a machine-readable format. Upon contract termination or request, Pryze will securely delete or return your data in accordance with data retention and record-keeping policies.

4. Acceptable Use

You agree not to misuse Pryze or interfere with its operation. This includes, but is not limited to:

• Attempting to access other users' data
• Uploading malicious code
• Using Pryze to track, surveil, or coerce others in violation of applicable laws

5. Fees

If your organization has entered into a paid agreement with Pryze, payment terms will be governed by that agreement. For government users, we comply with standard procurement and invoicing terms, including NET 30 and the Prompt Payment Act.

6. Termination

We may suspend or terminate access if these Terms are violated. Organizations may request deactivation at any time. Upon termination, we'll securely delete or return any organization-owned data upon written request, in accordance with records retention policies.

7. No Endorsement

Use of Pryze by any organization, whether a government agency, business, or other entity, does not constitute or imply endorsement of Pryze by that organization. We will not use the name, logo, trademark, branding, or official seal of any organization, public or private, for marketing or promotional purposes without prior written permission.

8. Limitation of Liability

To the extent permitted by law, Pryze shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service. For government users, liability will be determined in accordance with applicable federal or state law (e.g., the Contract Disputes Act or Tort Claims Act).

9. Warranties & Disclaimers

(a) Limited Warranty

Pryze warrants that the Services, Software, and Site will be provided in a professional manner and will be free from known malicious code (such as viruses, worms, spyware, or Trojan horses) introduced by Pryze. This warranty does not cover issues arising from:

• Malicious content uploaded by users or third parties
• Third-party applications integrated into the Service
• Internet or communication network outages

(b) Disclaimer of Warranties

Except as expressly stated above, the Pryze Services are provided "as is" and "as available", without warranties of any kind, either express or implied. We do not guarantee that:

• The Services will be uninterrupted or error-free
• The results from using Pryze will meet your expectations
• All errors or defects will be corrected
• Messages, notifications, or rewards will be delivered without delay

We make no guarantees regarding the accuracy or reliability of content, performance metrics, or third-party information available through the platform. You assume full responsibility for the use of the Services and any decisions made based on them.

(c) No Third-Party Warranty

If you engage with third-party providers (e.g., reward vendors, contractors, or service providers) through Pryze, those interactions are solely between you and the third party. Pryze is not responsible for any claims, losses, or damages arising from such relationships.

(d) Limitations by Law

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you. Where required by law, Pryze's liability will be limited to the maximum extent permitted.

10. Modifications

We may update these Terms periodically. If changes are material, we will notify users via the app or email. Continued use of the Service constitutes acceptance of the updated Terms.
